Terms of Service

Nomos is a marketplace service operated by Nomos Labs LLC, a limited liability company organized under the laws of the State of California ("Nomos Labs LLC", "Nomos", "we", "us", "our"). By accessing or using Nomos (the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform.
1. Definitions
- "Platform" or "Nomos" means the marketplace service operated by Nomos Labs LLC.
- "Provider" means a user who lists services on the Platform.
- "Customer" means a user who discovers or engages a Provider.
- "Service" means any activity, deliverable, tutoring, coaching, consulting, freelance work, or other engagement offered by a Provider.
2. Eligibility
You must be at least 18 years old and able to form a legally binding contract in your jurisdiction to create an account and use the Platform.
Services may be arranged for minors under the age of 18, but only when booked by a parent or legal guardian who holds the account. The account holder is fully responsible for all activity, communications, and payments made on behalf of the minor, and represents and warrants that they have the legal authority to arrange the Services on the minor's behalf. The Platform does not permit direct account registration, communication, or payment by minors.
3. Account and security
You are responsible for all activity on your account. Keep your password confidential and notify us immediately of any unauthorized access.
4. Platform role
Nomos is a marketplace that connects Customers with independent Providers. We do not provide, employ, endorse, verify, or supervise Providers or the Services they offer. Providers are independent contractors, not employees, agents, or partners of Nomos.
Any agreement, transaction, or dispute is between the Customer and the Provider directly. While we facilitate discovery, contact, and (during MVP) payment collection, the underlying Services are performed by the Provider on their own account.
5. Provider responsibilities
As a Provider, you represent and agree that:
- All information you submit is accurate, current, and does not infringe any third-party rights.
- You have the necessary licenses, qualifications, and legal authority to offer your Services.
- You will deliver Services in a professional and timely manner.
- You are solely responsible for your taxes, insurance, business registration, and compliance with all applicable laws.
- You will not accept payment for Services outside of the Platform.
6. Customer responsibilities
As a Customer, you agree that:
- You will independently evaluate any Provider before engaging them.
- You use Services at your own risk.
- You will pay for Services solely through the Platform's designated payment methods.
- You will not attempt to circumvent the Platform to arrange payment with a Provider directly.
7. Payments (MVP)
During the MVP phase, the Platform accepts payments via Zelle only. Customers send funds to the Platform, which forwards the Provider's share (net of the Platform commission) after the Service is confirmed complete. The Platform's commission rate is agreed in writing with each Provider before their Services go live.
The Platform is not a bank, money transmitter, or payment processor. We handle funds only as a limited convenience to facilitate the transaction; we do not offer escrow, custody, credit, or any other regulated financial service.
8. Content and license
By submitting profile information, service listings, photos, messages, or any other content ("User Content"), you grant Nomos a worldwide, non-exclusive, royalty-free license to host, display, adapt, and distribute that content in connection with operating the Platform. You retain ownership of your User Content.
9. Prohibited conduct
You will not:
- Post false, misleading, defamatory, obscene, or unlawful content.
- Infringe intellectual property or privacy rights of others.
- Attempt to interfere with, probe, or compromise the security of the Platform.
- Use the Platform to launder money, evade taxes, or engage in any illegal activity.
- Circumvent payment through the Platform.
- Scrape, resell, or redistribute Platform content without permission.
10. Suspension and termination
We may suspend or terminate your account, remove content, or refuse service at any time, with or without notice, if we believe you have violated these Terms or pose a risk to the Platform or its users. You may terminate your account at any time by contacting us.
11. Disclaimers
The Platform and all Services are provided "as is" and "as available" without warranties of any kind, express or implied, including without limitation implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
We do not warrant that Providers are qualified, that Services will be performed to any particular standard, that the Platform will be uninterrupted, secure, or error-free, or that any content on the Platform is accurate or complete.
12. Limitation of liability
To the maximum extent permitted by law, Nomos and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including without limitation loss of profits, data, goodwill, or other intangible losses, arising from or relating to your use of the Platform or any Service.
Our aggregate liability for any claim arising out of or relating to these Terms or the Platform shall not exceed the greater of (a) the fees you paid us in the six (6) months preceding the claim, or (b) one hundred U.S. dollars (US$100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.
13. Indemnification
You agree to defend, indemnify, and hold Nomos harmless from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from (a) your use of the Platform, (b) your violation of these Terms, (c) your Services or dealings with any other user, or (d) your violation of any law or third-party right.
14. Governing law and disputes
These Terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws principles. You agree to submit to the exclusive jurisdiction of the state and federal courts located in the State of California for any dispute arising out of these Terms.
15. Changes to these Terms
We may modify these Terms at any time. We will post the updated Terms on the Platform with a new "Last updated" date. Your continued use after changes constitutes acceptance of the updated Terms.
